By accessing or using the website located at https://primehomeequity.com (the “Site”) or any related services offered by Prime Home Equity LLC (“Company,” “we,” “us,” “our”), you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site.

1. Definitions

Listing” means a real-estate property displayed on the Site that the Company has under contract with the original seller.
Assignment” means the contractual right we assign to an end buyer (the “Investor Buyer”) for a fee.
Services” means the Site, any email communications, and all related tools we provide.

2. Eligibility & User Obligations

You must be at least 18 years old and legally able to enter contracts. You agree not to (i) use the Site for any unlawful purpose; (ii) misrepresent your identity; or (iii) interfere with the Site’s security or operation.

3. No Brokerage or Agency Relationship

We are not acting as licensed real-estate brokers or agents unless explicitly stated otherwise. We market and assign our equitable interest in purchase contracts; we do not represent any party in the sale. All due diligence—including inspections, valuations, and legal review—is the sole responsibility of the Investor Buyer.

4. Property Listings

Listings are provided AS IS, without warranties of any kind, express or implied. While we strive for accuracy, we make no representations regarding property condition, market value, or fitness for any purpose. Prices and availability may change without notice.

5. Assignment Process & Fees

(a) The Company executes a purchase agreement with the original seller.
(b) We offer to assign that agreement to the Investor Buyer for a assignment fee.
(c) Closing occurs through a third-party title company or attorney.
All fees are fully disclosed in the Assignment Agreement and paid at closing. We do not charge Users to browse Listings.

6. Intellectual Property

The Site and its content (photos, logos, and software) are our property or that of our licensors and protected under U.S. and international IP laws. You may not copy, distribute, or create derivative works without prior written consent.

7. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We disclaim all warranties—express, implied, or statutory—including warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent allowed by law, the Company is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if we knew such damages were possible. Our total liability will not exceed the fees you paid to us, if any, in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, managers, and employees from any claims, damages, or expenses arising out of your (i) use of the Site; (ii) violation of these Terms; or (iii) infringement of third-party rights.

10. Privacy Policy & Email Compliance

Your use of the Site is also governed by our Privacy Policy. By submitting personal data, you consent to its collection and processing as described therein. All email communications include our physical mailing address and a one-click unsubscribe to ensure CAN-SPAM and GDPR compliance.

11. Modifications to Terms

We may update these Terms at any time by posting the revised version on the Site and updating the “Effective Date.” Continued use after posting constitutes acceptance.

12. Termination

We reserve the right to suspend or terminate your access to the Site, with or without notice, for any violation of these Terms or applicable law.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state or federal courts located in Pinellas County, Florida.

14. Entire Agreement & Severability

These Terms constitute the entire agreement between you and the Company regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force.
